1Introduction and Acceptance
These Terms & Conditions ("Terms") govern access to and use of the Spellzee website, applications, online learning programmes, live classes, educational materials, assessments, parent-support services and related offerings (collectively, the "Services").
Spellzee Edutech Solutions Private Limited ("Spellzee", "we", "us" or "our") provides educational services primarily intended to help children develop language, literacy, communication and related learning skills.
By accessing our website, registering an account, booking a class, enrolling a child or purchasing a programme, you acknowledge that you have had an opportunity to review these Terms and agree to the provisions applicable to your use of the Services.
If you are enrolling a child, you represent that you are the child's parent, legal guardian or otherwise authorised adult responsible for the enrolment.
If you do not agree with these Terms, please do not purchase or use the Services. Questions may be directed to info@spellzee.in.
2Definitions
For these Terms:
- Parent means a parent, legal guardian or authorised adult who registers, purchases or manages a child's learning account.
- Student means the child receiving educational services through Spellzee.
- Services means the courses, classes, assessments, learning resources, applications, support and related services offered by Spellzee.
- Enrolment means a confirmed registration for a programme or package.
- Course Package means the particular course, session quantity, duration, price and benefits communicated at the time of purchase.
- Subscription means a recurring payment arrangement, where expressly offered and accepted.
- Authorised Channels means the official website, registered account, published contact email, designated support channels and other communication channels expressly authorised by Spellzee.
3Eligibility and Parental Responsibility
Our programmes are intended for children within the age or learning levels specified for the relevant course.
The parent or guardian is responsible for:
- Providing accurate registration and contact information.
- Selecting a programme suitable for the child's needs, with reasonable assistance from Spellzee where requested.
- Ensuring that the child has appropriate adult supervision where necessary.
- Helping the child attend classes on time and access the required learning technology.
- Keeping login credentials secure.
- Informing Spellzee of relevant learning requirements, accessibility needs or other information reasonably necessary to deliver the agreed service.
- Communicating significant enrolment, payment or account changes through the authorised channels.
Parents should not create duplicate accounts or use another person's identity to obtain benefits, credits or services improperly.
4Course Information and Enrolment
Before purchasing a programme, parents should review the course description, target age or level, format, number of sessions, schedule, fees, validity period and any specific conditions.
The exact services included in an enrolment are those communicated through the applicable course description, written fee confirmation, order details or other agreed enrolment communication.
A parent should raise any material discrepancy between the advertised programme and the confirmed enrolment before or promptly after classes commence.
Spellzee may recommend a different learning level or programme based on an assessment. A recommendation is intended to support an appropriate learning experience and does not, by itself, guarantee a particular educational outcome.
5Fees, Payments and Taxes
The applicable price and payment arrangement will be communicated before purchase.
Unless otherwise stated:
- Fees must be paid through an authorised payment channel.
- A receipt or payment confirmation may be issued electronically.
- Any applicable taxes will be reflected in the payment details or invoice in accordance with law.
- Parents are responsible for ensuring that the selected payment method is authorised and has sufficient funds.
- Spellzee may delay activation of a paid service until payment is successfully confirmed.
- Any discounts, promotional offers, instalments or special payment terms will be governed by the conditions disclosed for that offer.
A parent must not attempt to obtain paid services through payment manipulation, falsified transaction evidence or unauthorised payment reversals.
If a payment fails or appears duplicated, please contact info@spellzee.in with the transaction reference so the matter can be checked.
6Subscriptions, Renewals and Instalments
Where a subscription or instalment plan is offered, the payment frequency, amount, due dates, duration and cancellation arrangements will be disclosed before the parent accepts the plan.
By choosing a recurring payment option, the parent authorises the applicable recurring charges according to the disclosed terms and the authorisation obtained through the payment provider.
Parents should request cancellation through the authorised process before the next renewal cut-off.
Cancellation of future renewals does not automatically cancel an outstanding instalment obligation or create a right to a refund for services already delivered. Any refund is governed by the applicable enrolment terms and Refund & Cancellation Policy, subject to applicable law.
Spellzee will not knowingly impose an undisclosed recurring charge or change a material payment term retrospectively.
7Class Scheduling and Attendance
Classes will be scheduled according to the course package and the arrangements confirmed with the parent. Parents are expected to:
- Ensure that the child is available at the agreed time.
- Join through the designated class link or learning platform.
- Provide a reasonably suitable learning environment and working internet connection.
- Notify Spellzee of a scheduling problem through the authorised support process.
- Follow the applicable cancellation and rescheduling notice requirements.
A child's absence, late arrival or failure to join may affect the ability to deliver the session. The treatment of missed classes will follow the applicable course-specific scheduling rules disclosed at enrolment.
Spellzee may adjust a schedule where reasonably necessary for service delivery. We will communicate material changes and offer a reasonable alternative where appropriate.
8Rescheduling and Class Cancellations
Rescheduling availability depends on the course package, notice period, educator availability and operational requirements.
Parents should not assume that every missed class can be rescheduled automatically.
Where Spellzee cancels a class, we will make reasonable efforts to arrange a replacement or another appropriate resolution.
Where a parent requests a cancellation or rescheduling, the request must be submitted through the authorised channel and within the applicable notice period.
Any class credits, expiry periods or rescheduling limits applicable to a specific package must be communicated before enrolment or in the relevant course rules.
9Learning Experience and Educational Outcomes
Spellzee aims to deliver structured, age-appropriate learning through its educational programmes, teaching methods, assessments and support systems.
A child's progress may depend on several factors, including starting skill level, attendance, practice, engagement, developmental differences and the support available outside class.
Unless a specific outcome commitment is expressly included in the parent's written enrolment terms, Spellzee does not guarantee that every child will achieve an identical result within a fixed period.
Where Spellzee has expressly offered an improvement commitment or programme guarantee, the written terms of that commitment will apply and will not be overridden by this general clause. Parents are encouraged to share concerns early so that appropriate academic support can be considered.
10Parent Communication and Support
Spellzee aims to maintain respectful, constructive and documented communication with parents.
Parents should use official channels for matters involving:
- Fees, receipts and payments.
- Course changes and enrolment decisions.
- Formal complaints and refund requests.
- Scheduling disputes and rescheduling.
- Requests concerning student records or personal data.
- Concerns about service quality or professional conduct.
Class-related communication may occur through the communication method designated for the relevant programme. Parents should not treat an informal conversation as confirmation of a refund, fee waiver, course extension or change to the agreed package unless the change is confirmed by an authorised Spellzee representative.
Our support hours are Monday to Saturday, 11:00 AM to 9:00 PM IST, excluding any published closures or holidays.
11No Unauthorised Circumvention of Spellzee Services
Spellzee invests in programme design, educator onboarding, scheduling, learning support, student safety, technology, quality assurance and customer service.
To protect these arrangements, parents must not use confidential or non-public information obtained through Spellzee to circumvent the agreed service arrangements.
Prohibited conduct includes:
- Arranging undisclosed private paid services using confidential contact information or internal scheduling details obtained through Spellzee, where the arrangement is intended to bypass an applicable contractual or commercial restriction.
- Offering or accepting undisclosed payments or benefits to divert an enrolled student or service away from an agreed Spellzee arrangement.
- Encouraging any person to misuse Spellzee's confidential business information, restricted learning materials or internal systems.
- Misrepresenting an unauthorised private arrangement as an official Spellzee service.
- Soliciting access to another family's account, private information or learning records.
- Knowingly assisting in fraud, payment evasion or unauthorised access to the platform.
Parents may communicate appropriately with the personnel involved in their child's class for genuine educational coordination through the authorised arrangements. This clause is not intended to prevent normal class communication, a legitimate safety concern, a lawful complaint, or communication protected by applicable law.
Where a credible concern arises, Spellzee may investigate, ask for clarification, restrict unauthorised access, suspend or terminate affected services where justified, and pursue lawful remedies proportionate to the breach.
A breach does not automatically remove all refund rights. Any refund, suspension or termination decision will be made under the applicable policy, the circumstances of the breach and applicable law.
12Student Safety and Appropriate Conduct
Spellzee expects parents and students to maintain respectful conduct during classes and in communications connected with the Services.
The following are not permitted:
- Threats, harassment, bullying or abusive conduct.
- Deliberate disruption of a class or another child's learning experience.
- Sharing another student's personal information without proper authority.
- Recording, distributing or publishing another child’s image, voice or personal information without the necessary permission.
- Attempting to obtain private access to a child or another family's account.
- Using the Services to engage in unlawful, exploitative or harmful conduct.
If a safety concern arises, Spellzee may take reasonable protective measures, including restricting access, reviewing the incident through appropriate internal processes, contacting a parent or guardian, or reporting a matter where legally required or necessary to protect a child.
Any action will be proportionate to the circumstances and consistent with applicable law.
13Learning Materials and Intellectual Property
Spellzee's course materials, lesson plans, worksheets, assessments, videos, platform content, curriculum structures, branding, software and related resources may be protected by intellectual property laws. Subject to the applicable enrolment terms, Spellzee grants the parent and enrolled student a limited, personal, non-exclusive, non-transferable right to use the materials made available for the child's learning.
Unless expressly authorised in writing, users must not:
- Reproduce or commercially distribute course materials.
- Sell, sublicense or publicly publish restricted learning resources.
- Upload restricted materials to public repositories or unauthorised third-party platforms.
- Copy or redistribute recorded sessions beyond the permitted educational purpose.
- Remove copyright notices or misrepresent ownership of Spellzee materials.
- Use Spellzee's branding or content to imply an unauthorised affiliation.
Parents may retain and use materials as permitted for the child's personal learning, subject to the applicable course terms.
Nothing in this section transfers ownership of Spellzee's intellectual property to a parent or student.
14Accounts, Platform Access and Security
Parents are responsible for maintaining the confidentiality of their account credentials and ensuring that account access is used appropriately.
Parents must notify Spellzee promptly if they suspect unauthorised access or a compromise of account security.
Users must not attempt to bypass platform security, access restricted areas, interfere with service operations, introduce malicious code or misuse another person's account.
Spellzee may temporarily restrict access where reasonably necessary to investigate a security issue, protect student information, prevent fraud or maintain the integrity of its Services.
Where possible, the parent will be informed of a material restriction and the steps required to resolve it, subject to safety, security and legal considerations.
15Privacy and Children's Personal Data
Spellzee processes personal information in accordance with its separate Privacy Policy and applicable law.
Parents should review the Privacy Policy to understand the categories of information collected, purposes of processing, relevant service providers, security practices, retention arrangements and the available rights and request procedures. Parents should provide accurate information and should not disclose unnecessary sensitive information through ordinary class channels.
Any processing of children's personal data, use of session recordings, marketing communications or other data-related activities will be handled according to the Privacy Policy, applicable consent requirements and applicable law.
These Terms do not replace the Privacy Policy.
16Third-Party Services and Technical Requirements
Spellzee may use third-party platforms or service providers for functions such as video classes, scheduling, learning management, communications, analytics or payment processing.
The availability of certain features may depend on those providers and the parent's device, internet connection, software and network configuration.
Spellzee will take reasonable steps to address service issues within its control. However, an external platform interruption or a local connectivity issue may affect class access.
Where a technical issue materially affects a paid class, the matter will be assessed under the applicable class and refund policies.
Parents should not share account credentials or sensitive information with an unauthorised person claiming to represent a third-party service provider.
17Complaints and Service Resolution
Parents may raise a complaint by emailing info@spellzee.in.
Please include the registered contact details, course name, relevant dates and a clear description of the concern.
Spellzee will review the complaint and ordinarily acknowledge it within 2 business days. The time required for resolution may depend on the complexity of the matter.
Where a complaint concerns educational quality, scheduling, payments, personal data or safety, it may be routed to the appropriate team for review.
If a parent is dissatisfied with the initial response, the parent may request escalation through the same email thread.
Nothing in this section prevents a parent from exercising an applicable statutory right or approaching an appropriate authority.
18Refunds and Cancellations
Refund eligibility, cancellation requests, refund calculations, payment methods and processing timelines are governed by the separate Refund & Cancellation Policy published on Spellzee's website and applicable to the enrolment.
Parents should read that policy before making a purchase.
A general statement in these Terms will not override a specific refund commitment expressly made in writing for an enrolment or a right that cannot lawfully be excluded.
19Suspension and Termination
Spellzee may suspend or terminate access to a Service where reasonably necessary because of:
- A material breach of these Terms.
- Fraud, payment manipulation or unauthorised access.
- A serious or repeated violation of student-safety requirements.
- Misuse of confidential information or intellectual property.
- Abusive conduct that materially interferes with service delivery or safety.
- A legal requirement or a material operational reason that makes the service unavailable.
Where appropriate, Spellzee will notify the parent of the reason and any steps available to address the issue.
Any fee, refund or credit consequences of suspension or termination will be assessed under the enrolment terms, applicable policies and applicable law. Termination does not automatically entitle Spellzee to retain amounts that must lawfully be refunded.
Parents may request cancellation of their enrolment or subscription under the applicable cancellation terms.
20Service Availability and Changes
Spellzee may update course content, improve platform features, revise learning materials or make operational adjustments to improve the Services.
We will make reasonable efforts to ensure that a material change does not substantially reduce the core paid service without appropriate communication or resolution.
If Spellzee discontinues a paid service before delivering the agreed benefits, we will consider an appropriate alternative or refund in accordance with the enrolment terms and applicable law. Nothing in this clause permits the retrospective removal of an entitlement already acquired by a parent.
21Limitation of Liability
To the extent permitted by law, Spellzee will not be responsible for losses arising solely from a parent's failure to provide accurate information, protect account credentials, maintain a suitable device or internet connection, or follow the disclosed scheduling arrangements.
Nothing in these Terms excludes or limits liability that cannot lawfully be excluded or limited, including any applicable consumer rights or liability for fraud, wilful misconduct or other matters for which exclusion is prohibited by law.
Where a service issue is attributable to Spellzee, the available remedy will be assessed under the applicable service terms, policies and law.
22Force Majeure and Events Beyond Reasonable Control
Spellzee may be affected by events beyond its reasonable control, such as major internet or infrastructure outages, natural disasters, government restrictions, public emergencies or widespread third-party platform failures.
If such an event materially affects service delivery, Spellzee will make reasonable efforts to communicate the disruption and arrange an appropriate alternative where feasible.
Any effect on fees, unused sessions or refunds will be assessed in accordance with the applicable enrolment terms and law.
23Governing Law and Dispute Resolution
These Terms are governed by the laws of India, subject to applicable mandatory legal protections and jurisdictional rules.
If a dispute arises, the parent and Spellzee are encouraged to attempt a good-faith resolution through the official support and escalation process.
If the dispute cannot be resolved informally, either party may pursue remedies before a competent court, consumer commission or other forum having jurisdiction under applicable law.
Nothing in these Terms requires a parent to waive a statutory remedy or accept a dispute-resolution arrangement that is unenforceable under law.
24Changes to These Terms
Spellzee may update these Terms to reflect operational, technological or legal changes.
The revised Terms will be published with an updated date. Material changes will be communicated where required by law.
Unless applicable law or a specific agreement provides otherwise, the Terms disclosed at the time of enrolment will continue to govern that purchase. A new version will not retrospectively remove a right already established.
25Severability and Entire Agreement
If a provision of these Terms is held invalid or unenforceable, the remaining provisions will continue to apply to the extent permitted by law.
These Terms, the applicable course or enrolment details, the Refund & Cancellation Policy and the Privacy Policy collectively describe the relevant contractual and policy framework for the Services.
If there is a conflict, applicable law prevails. A specific written commitment made for an enrolment will be considered alongside these general Terms.
